**Alpha Bank Completes Acquisition of Alpha Trust Holdings**

Alpha Bank has successfully concluded its acquisition of the remaining shares in Alpha Trust Holdings, achieving full ownership and voting rights in the company. This significant milestone was reached on August 24, following a legal procedure known as a squeeze-out, which allows a majority stakeholder to acquire the remaining shares from minority shareholders.

The completion of this acquisition involved the purchase of 69,324 ordinary shares at a cash price of €20.20 per share. Notably, this price matches the consideration previously offered by Alpha Bank during its earlier tender offer for Alpha Trust Holdings. With this transaction, Alpha Bank and its associated parties now hold 100 percent of the shares and voting rights in Alpha Trust Holdings.

The squeeze-out procedure was conducted in compliance with Article 27 of Greek Law 3461/2006 and was sanctioned by the Hellenic Capital Market Commission (HCMC). The relevant resolution from the HCMC was issued back in April 2013, while the information circular concerning the offer received approval from the commission's board on May 27, 2026.

The acquisition marks a strategic move for Alpha Bank, solidifying its position in the market and enhancing its operational capabilities through complete ownership of Alpha Trust Holdings. This development is expected to streamline decision-making processes and align the objectives of both entities more closely.

As Alpha Bank moves forward with its full ownership of Alpha Trust Holdings, industry analysts will be observing the implications of this acquisition on both the bank's portfolio and the broader financial landscape in Greece.
